The terms that govern your access to and use of Toyyib, our Shariah stock compliance platform.

Introduction

These Terms of Service govern your access to and use of Toyyib, a Shariah stock compliance platform operated by Halcore Digital Technology Limited (“Halcore”, “we”, “us”, or “our”), accessible via our mobile application and web platform (the “Platform”).

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement under Nigerian law to use the Platform. Corporate users must ensure the individual registering has authority to bind the organisation. Halcore reserves the right to refuse or terminate access at its discretion.

2. Nature of the Platform

Toyyib provides Shariah compliance classifications and related information for equities listed on the NGX and NASD with plans to cover other regions, based on the methodology approved by the Halcore Shariah Supervisory Board and aligned with AAOIFI standards.

Toyyib is not a stockbroker, investment adviser, fund manager, or financial institution. It does not execute trades or manage investments. Nothing on the Platform constitutes financial, investment, tax, or legal advice. All compliance classifications are scholarly opinions based on publicly available financial data and are subject to change. Users should consult a qualified Islamic finance advisor before making any investment decision.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access. Halcore reserves the right to suspend accounts where inaccurate information has been provided or where these Terms are breached.

4. Subscription & Payment

Toyyib operates on a freemium model.

The following are available free to all registered users:

  • Shariah compliance status for any NGX or NASD-listed equity
  • the plain-language compliance verdict per stock
  • business activity screening results
  • access to the Explore screen

The following require a paid subscription:

  • full equity compliance reports
  • financial ratio screening breakdowns
  • compliance ratings
  • portfolio compliance tracking
  • dividend purification calculator
  • watchlist monitoring
  • downloadable PDF reports
  • compliance alerts

All subscription fees are in Nigerian Naira, prepaid, and inclusive of applicable VAT. Payments are processed by Paystack — and your card details are never stored on Halcore’s servers.

If a payment fails, a three-day grace period applies before premium access is suspended. Free features remain accessible during this period. You may cancel your subscription at any time from your Profile settings. Upon cancellation, access continues until the end of the current billing period. Subscription fees are non-refundable except as required by Nigerian consumer protection law. Halcore reserves the right to change pricing with thirty days’ prior notice.

5. Acceptable Use

You agree to use the Platform only for lawful purposes.

You must not:

  • attempt to reverse engineer the Platform
  • scrape or redistribute compliance data
  • impersonate any person or entity
  • attempt unauthorised access to our systems
  • upload malicious code
  • use the Platform to facilitate any activity prohibited under Nigerian law including the Cybercrimes Act 2015, the ISA 2007, or the Money Laundering (Prevention and Prohibition) Act 2022

Violations may result in immediate account termination and referral to relevant Nigerian authorities.

6. Intellectual Property

All Platform content — including compliance data, reports, methodology, software, design, and branding — is the intellectual property of Halcore Digital Technology Limited, protected under applicable Nigerian and international intellectual property laws. You are granted a limited, personal, non-transferable licence to use the Platform for personal non-commercial purposes only. You may not reproduce, sell, or commercially exploit any part of the Platform or its content.

7. Disclaimers & Limitation of Liability

The Platform is provided on an “as is” basis. Halcore does not warrant uninterrupted availability, error-free classifications, or that any stock’s compliance status will remain unchanged. Halcore’s total liability for any claim shall not exceed the subscription fees paid by you in the three months preceding the event giving rise to the claim. Halcore is not liable for any indirect, consequential, or special damages. Nothing herein excludes liability for matters that cannot be excluded under Nigerian law, including the FCCPA 2018.

8. Shariah Supervisory Board

Toyyib’s compliance classifications are governed by the Halcore Shariah Supervisory Board — qualified Islamic scholars who approve the methodology, conduct annual audits, and publish a public Annual Shariah Compliance Statement. SSB decisions represent scholarly opinions within the AAOIFI framework and are not fatwas binding on all Muslims. Users are encouraged to seek independent scholarly guidance where needed.

9. Termination

You may close your account at any time via Profile settings or by contacting [email protected]. Halcore may suspend or terminate your account immediately for breach of these Terms, fraudulent activity, or as required by Nigerian law. Upon termination, your licence to use the Platform is revoked. Clauses 6, 7, 10, and 11 survive termination.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria and the Islamic Law of commercial Jurisprudence as interpreted by the CBN FRACE. Disputes shall first be referred to good faith negotiation for thirty days. If unresolved, disputes shall be referred to mediation at the Lagos Multi-Door Courthouse or Lagos Court of Arbitration. If mediation fails, disputes shall be resolved by arbitration under the Arbitration and Mediation Act 2023, seated in Lagos. You may also raise consumer protection complaints with the Federal Competition and Consumer Protection Commission at www.fccpc.gov.ng.

11. General

These Terms constitute the entire agreement between you and Halcore regarding your use of the Platform. Halcore may update these Terms with fourteen days’ notice. Continued use after the effective date constitutes acceptance. If any provision is found unenforceable, the remainder continues in force. Halcore’s failure to enforce any provision does not constitute a waiver. You may not assign your rights under these Terms without Halcore’s consent.
